here's my p.o.s.
Intel Core 2CPU 6420 @ 2.13GHz
Nvidia 7350LE
mobo is Intel i945G/GZ
I have about 200$ I could spend so I was thinking of getting a 500W power supply since I have a 350W atm and can't figure out how to over clock, and then getting a nice new processor and maybe a graphics card a little later.
What do you suggest?

You might as well opt for a nice 775 board, get a quad and run over your budget by a few $10's. Then wait for a better graphics card, worth the wait mate, trust me.

Yes mate, the BIOS is an Basic input operating system. You can change your motherboard to change the BIOS yes, but you can always see if there is an update available from Intel website. Go take a look there, might find something, this can add more options to your BIOS, like overclocking options.
You can always purchase a new motherboard, what processor you looking to use? The one you have now or go for higher?

Whatever is best FPS improvement is what I want. I just want a 50+ boost in frames and I'd be happier than a kid with candy.
If the graphics card/PSU is the way to go I can pick up a new 550W PSU and 9800GT at the store right now with no issues cause I know how to install that stuff.
If you suggest getting a new mobo and PSU so I can overclock for better FPS, I'd have to buy a new CPU fan as well, and I would have to take it into a shop because I don't know how to install a new mobo. Total noob

Go for the 9800 and PSU mate, then update your mobo later on. You will gain a nice increase of FPS don't know about 50 but you will be playing around 125FPS considering you have Anti Aliasing turned off.
To replace the mobo unscrew the screws on the mobo and pull out, then put new mobo in and screw back in
