Need help with server build

I'm working on a build for my dad. Just a plain old computer no need for gaming, all that will be run is programming, Linux, and Windows server. I can't really come up with anything good though since I've been out of touch with tech for a bit now since school and everything else. Please offer me some advice on what to get. Remember, I'm in US.

Budget: No more than $430

What I already have:

HDD

GFX Card

DVD Drive

What I need:

2GB RAM

Small form factor case

PSU

Good core 2 chip that fits in the budget

Good mobo that fits in the budget

Well with a server you want fast HDD's and a decent CPU. Most C2D's will be fine, especially if it's not heavy load. Get 2GB decentish DDR2 and a rock solid board like the Abit IP35 pro

SFF case? Hmm toughie, as I persdoally would want an ATX board...not too sure on that one
