Core2Duo E7200 OC ideas?

I have a Core 2 Duo E7200 that I want to push to about 3.33 of 3.5 or higher. Right now I am using a Gigabyte G41M-ES2L motherboard for this.
The options I have to change in the BIOS are CPU Host Clock, Performance Enhance(For DRAM), System Mem multi, CPU Vcore, CPU Termination, CPU Reference, DRAM Voltage. The Vcore is set to auto and is 1.18750, the termination is 1.200, Reference is set to .805, and DRAM is 1.800. I a sure I need to crank the Vcore up to get something stable, but I also need to change the termination up so it doesn't clock down when it hits a certain voltage. What would be a stable Vcore and termination voltage before anything went crazy?? I also know there is a guide on here for this, but every board is different and guides don't always cover everything. So any advice is appreciated. :)

Well you can see what kind of CPU I have. But I am using a rosewill cooler. RCX-Z300. I have it to 3.20Ghz now. But want to hit 3.33Ghz. Temps don't get above 65 right now.

Well got a decent Chip I suppose. I am using a pretty ehh board for OC'ing. Just hate that even if I try to set my Vcore to a certain limit it never goes there.
